Terms of Service

1. Overview

Setup AI (“we,” “us,” “our”) provides AI assistant deployment and managed support services. These terms govern your use of our services, including in-person and remote implementation, managed support, and ongoing Setup + Managed plans.

2. Services

We install, configure, and harden AI assistants on your hardware. Services include email and calendar integration, workflow configuration, documentation, and a 14-day managed support period. We serve Minneapolis, Minnesota in person and all locations remotely.

3. Pricing & Payment

• Setup: $750 USD (one-time)
• Setup + Managed: $750 USD + $250/month
• Team: Custom pricing

Payment is processed securely through Stripe. Implementation fees are fully refundable if cancelled before the appointment. After the appointment is completed, fees are non-refundable. Monthly Managed plans require 30 days written notice for cancellation.

4. Your Responsibilities

You agree to:

• Maintain your own data backups before and during setup
• Provide the access and credentials necessary for installation
• Rotate credentials after setup is complete
• Provide accurate information about your systems and requirements
• Ensure your use of AI assistants complies with applicable laws and third-party terms

5. Managed Support Scope

The 14-day managed support period covers issues directly related to the initial setup. Software updates by third parties, outages in external services, and changes you make after setup are outside the scope of managed support. For ongoing support, monitoring, and new workflows, a Setup + Managed plan is required.

6. Access During Setup

We require temporary access to the machine and accounts being connected (email, calendar, messaging). We use least-privilege access and do not intentionally retain your credentials or personal data after the appointment. You should rotate all shared credentials after setup is complete.

7. Limitation of Liability

To the maximum extent permitted by law, Setup AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including data loss or security breaches. Our total liability is limited to the fees you paid for the specific service giving rise to the claim.

8. Disclaimer of Warranties

Services are provided “as is” without warranties of any kind. We do not guarantee error-free or uninterrupted operation of any AI assistant. AI systems may produce incorrect outputs, and you are responsible for reviewing actions taken by your AI assistant.

9. Dispute Resolution

Any disputes will first be addressed through good-faith negotiation. If unresolved within 30 days, disputes will proceed to binding arbitration in Minneapolis, Minnesota under the rules of the American Arbitration Association.

10. Governing Law

These terms are governed by the laws of the State of Minnesota, without regard to conflict of law provisions.

11. Changes to These Terms

We may update these terms from time to time. Material changes will be communicated via email or through our website. Continued use of our services after changes constitutes acceptance.
